These Terms of Service (“Terms”) govern your access to and use of NewGenWP.com (“NewGenWP,” “we,” “us,” or “our”), including our websites, WordPress plugins, themes, software, applications, APIs, documentation, downloads, licenses, subscriptions, accounts, support services, and related products and services (collectively, the “Services”).

By accessing or using the Services, creating a NewGenWP account, purchasing a product, downloading software, activating a license, installing a NewGenWP product, or otherwise using the Services, you agree to these Terms.

If you do not agree to these Terms, do not access or use the Services.

1. About NewGenWP

NewGenWP provides software, WordPress products, digital products, APIs, website tools, themes, plugins, documentation, and related services.

NewGenWP products may be offered under different product names, plans, license types, pricing structures, and feature sets.

Specific product documentation, license terms, purchase terms, or additional agreements may apply to particular Services.

If a product-specific agreement conflicts with these Terms, the product-specific agreement will control only with respect to the conflicting subject matter.

2. Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement under applicable law.

If you use the Services on behalf of a company, organization, agency, or other entity, you represent that:

• share account credentials in a manner that violates your license;

• or interfere with account-security mechanisms.

NewGenWP may temporarily restrict access when reasonably necessary to investigate suspected unauthorized access, fraud, abuse, security incidents, or violations of these Terms.

5. Products and Services

NewGenWP may offer:

• WordPress plugins;
• WordPress themes;
• software;
• APIs;
• extensions;
• add-ons;
• templates;
• digital resources;
• cloud services;
• licensing services;
• analytics features;
• AI-assisted features;
• support services;
• and other digital products.

Features may differ between free, paid, trial, subscription, lifetime, or other product plans.

NewGenWP may introduce, modify, replace, suspend, or discontinue features subject to applicable law and any specific contractual commitments applicable to you.

6. Free Products

NewGenWP may provide certain products or features free of charge.

Free products may be subject to:

• feature limitations;
• usage limitations;
• technical limitations;
• support limitations;
• update policies;
• licensing requirements;
• or other restrictions.

NewGenWP may modify or discontinue free products or free features subject to applicable law.

7. Paid Products

Paid products may require payment of the applicable purchase price, subscription fee, or other charges displayed at the time of purchase.

Unless otherwise stated:

• prices are displayed before purchase;
• applicable taxes may be added where required;
• payment must be successfully completed before access to paid functionality is provided;
• and purchases may be subject to additional payment-provider terms.

Prices may change for future purchases or renewals.

A price change does not retroactively change the price of a completed purchase unless otherwise stated.

8. Subscriptions

Certain NewGenWP products or services may be offered through recurring subscriptions.

When purchasing a subscription, you authorize the applicable payment provider to charge the subscription fee according to the selected billing interval.

Subscription terms may include:

• monthly billing;
• annual billing;
• other recurring periods;
• automatic renewal;
• plan-specific limits;
• feature restrictions;
• and cancellation conditions.

The applicable subscription details presented during checkout form part of your purchase agreement.

9. Automatic Renewal

Where a subscription automatically renews, it will generally continue until canceled or otherwise terminated.

Before purchasing, you should review:

• renewal frequency;
• renewal price;
• applicable taxes;
• cancellation procedure;
• and any applicable renewal conditions.

If a subscription is canceled before its next renewal date, access may continue until the end of the already-paid period unless otherwise stated.

10. Cancellation

You may cancel a subscription using the cancellation mechanism provided by NewGenWP or the applicable payment provider.

Cancellation normally prevents future renewal but does not automatically reverse previous charges.

Where required by applicable law, additional cancellation rights may apply.

11. Refunds

Refund eligibility depends on:

• the product purchased;
• the applicable refund policy;
• the purchase date;
• the payment method;
• applicable law;
• and the circumstances of the request.

Where NewGenWP publishes a separate refund policy, that policy forms part of these Terms.

Nothing in these Terms limits mandatory consumer refund rights that cannot legally be excluded.

Fraudulent transactions, unauthorized purchases, abuse of refund systems, or repeated refund abuse may be investigated.

12. Payment Providers

Payments may be processed by third-party payment providers.

NewGenWP may not directly store complete payment-card information when a third-party payment processor handles the transaction.

Payment providers may impose their own:

• terms;
• privacy policies;
• security procedures;
• verification requirements;
• and payment rules.

You agree to comply with applicable payment-provider requirements.

13. Taxes

You are responsible for taxes applicable to your purchase or use of the Services unless the law requires NewGenWP or its payment provider to collect and remit them.

Prices may be displayed exclusive or inclusive of certain taxes depending on your location and applicable law.

NewGenWP may request information necessary to determine applicable tax treatment.

14. Software License

When you purchase or download a NewGenWP software product, you receive a license to use that product, not ownership of NewGenWP’s underlying intellectual property.

Unless a product-specific license states otherwise, your license is:

• limited;
• non-exclusive;
• non-transferable except where expressly permitted;
• revocable upon termination or material violation of the applicable license;
• and subject to these Terms.

The applicable product license may specify:

• number of websites;
• number of installations;
• account restrictions;
• activation limits;
• subscription requirements;
• update eligibility;
• support eligibility;
• or other usage restrictions.

15. WordPress Products

NewGenWP plugins and themes may be designed to operate with WordPress.

Compatibility may depend on:

• WordPress version;
• PHP version;
• hosting environment;
• server configuration;
• other plugins;
• themes;
• third-party services;
• browser environment;
• database configuration;
• and other technical factors.

NewGenWP does not guarantee compatibility with every WordPress configuration.

You are responsible for maintaining appropriate backups of your website before installing or updating software.

16. Website Backups

Before installing, updating, migrating, modifying, or removing software, you should maintain an independent backup of your website and important data.

NewGenWP products may provide backup or recovery functionality where specifically offered.

However, you remain responsible for maintaining appropriate backups unless a separate written agreement states otherwise.

NewGenWP does not guarantee that every backup will be complete, usable, recoverable, or available at all times.

17. Updates

NewGenWP may provide software updates, security updates, bug fixes, compatibility updates, or feature updates.

Updates may be delivered through:

• WordPress;
• NewGenWP servers;
• license services;
• account dashboards;
• APIs;
• or other supported mechanisms.

Update availability may depend on your license or subscription.

NewGenWP does not guarantee that every historical version will remain available indefinitely.

18. Product Changes

Software products evolve over time.

NewGenWP may:

• add features;
• remove features;
• redesign interfaces;
• change technical requirements;
• improve performance;
• change integrations;
• modify APIs;
• modify limits;
• or discontinue particular features.

Where applicable law or a specific agreement requires notice or consent for a material change, NewGenWP will provide the legally required notice or obtain the required consent.

19. API Services

Certain NewGenWP products may provide access to APIs.

API usage may be subject to:

• authentication requirements;
• rate limits;
• usage limits;
• quotas;
• plan restrictions;
• security controls;
• endpoint-specific requirements;
• and separate API documentation.

You must not:

• abuse API endpoints;
• intentionally overload infrastructure;
• circumvent rate limits;
• use another user’s credentials;
• attempt unauthorized access;
• probe systems for vulnerabilities without authorization;
• or use APIs for unlawful purposes.

NewGenWP may temporarily restrict API access when reasonably necessary to protect infrastructure, users, or the service.

20. API Credentials

You are responsible for keeping API keys, access tokens, passwords, secrets, and other credentials confidential.

You must not:

• publish private credentials;
• commit secrets to public repositories;
• intentionally expose credentials;
• share credentials with unauthorized users;
• or use credentials belonging to another person without authorization.

If you believe an API credential has been compromised, you should revoke or rotate it promptly.

21. Bring Your Own Key (BYOK)

Some NewGenWP products may permit you to connect your own API credentials to third-party services.

BYOK functionality may allow NewGenWP to make requests to the third-party service using credentials supplied or authorized by you.

You are responsible for:

• having the right to use the credentials;
• complying with the third-party provider’s terms;
• monitoring your third-party usage;
• paying applicable third-party charges;
• protecting your credentials;
• and ensuring that your use of the third-party service is lawful.

NewGenWP is not responsible for charges imposed by third-party API providers.

22. AI Features

NewGenWP may offer AI-assisted functionality.

AI-generated results may be:

• incomplete;
• inaccurate;
• outdated;
• inappropriate for a particular purpose;
• or generated incorrectly.

AI outputs should be reviewed by you before publication, deployment, or reliance.

You are responsible for determining whether AI-generated content is appropriate for your intended use.

NewGenWP does not guarantee that AI-generated content is:

• accurate;
• original;
• suitable for a particular purpose;
• free from errors;
• free from third-party rights;
• or appropriate for publication without review.

23. Third-Party AI Services

Some AI functionality may rely on third-party providers.

Third-party providers may have separate:

• terms;
• privacy policies;
• usage limits;
• pricing;
• content policies;
• retention policies;
• and service availability.

Your use of third-party AI services through NewGenWP may therefore be subject to those providers’ requirements.

24. Customer Content

You retain your rights in content that you submit to NewGenWP, except for rights necessary for NewGenWP to provide the Services.

You grant NewGenWP the limited rights reasonably necessary to:

• process your content;
• transmit it;
• store it;
• display it where necessary;
• analyze it when required for the requested functionality;
• provide support;
• secure the Services;
• and otherwise provide the Services you request.

NewGenWP does not obtain ownership of your website content merely because you use NewGenWP software.

25. Responsibility for Customer Content

You are solely responsible for content and data that you:

• upload;
• submit;
• process;
• publish;
• transmit;
• or otherwise provide through the Services.

You must have the necessary rights and permissions to use such content.

You must not use NewGenWP to process or distribute content in violation of applicable law or third-party rights.

26. Prohibited Uses

You must not use the Services to:

• violate applicable law;
• infringe intellectual-property rights;
• commit fraud;
• distribute malware;
• attack or compromise systems;
• gain unauthorized access;
• interfere with another user’s service;
• circumvent security controls;
• bypass licensing restrictions;
• abuse APIs;
• distribute stolen credentials;
• impersonate another person or organization;
• conduct unlawful surveillance;
• facilitate illegal activity;
• or otherwise misuse the Services.

You must not use NewGenWP services to knowingly facilitate harmful or unlawful activity.

27. Security Testing

You must not conduct security testing, penetration testing, vulnerability scanning, exploitation, or other potentially disruptive security activity against NewGenWP infrastructure without prior written authorization.

Nothing in this section prevents lawful security research where applicable law and a separately applicable NewGenWP security program expressly permit it.

28. Reverse Engineering

To the extent permitted by applicable law, you may not:

• reverse engineer;
• decompile;
• disassemble;
• circumvent technical protection mechanisms;
• or attempt to derive source code

from proprietary NewGenWP software except where applicable law expressly permits such activity.

Nothing in these Terms is intended to prohibit rights that cannot legally be restricted.

29. Intellectual Property

NewGenWP and its licensors retain all rights, title, and interest in:

• NewGenWP trademarks;
• logos;
• branding;
• websites;
• software;
• source code;
• object code;
• documentation;
• designs;
• interfaces;
• graphics;
• databases;
• proprietary technology;
• and other NewGenWP materials.

Except for rights expressly granted under these Terms or an applicable license, no intellectual-property rights are transferred to you.

30. Trademarks

“NewGenWP” and related names, logos, product names, and branding may be trademarks or trade names of NewGenWP or its licensors.

You may not use NewGenWP trademarks in a way that:

• falsely suggests endorsement;
• creates confusion;
• misrepresents an affiliation;
• or violates applicable trademark law.

31. Open-Source Software

NewGenWP products may include or interact with open-source software.

Open-source components may be subject to their own licenses.

Where applicable, those licenses govern the relevant open-source components.

Nothing in these Terms is intended to override rights granted under an applicable open-source license.

32. Third-Party Software and Integrations

NewGenWP products may integrate with or depend upon third-party software, services, APIs, hosting providers, payment processors, cloud providers, or other systems.

NewGenWP does not control third-party services.

A third-party service may:

• change its API;
• change pricing;
• impose limits;
• discontinue functionality;
• experience outages;
• change its terms;
• or become unavailable.

NewGenWP is not responsible for third-party service changes outside NewGenWP’s reasonable control.

33. Third-Party Links

The Services may contain links to third-party websites.

NewGenWP does not control those websites and is not responsible for their:

• content;
• availability;
• security;
• privacy practices;
• products;
• services;
• or policies.

Your use of third-party websites is governed by their applicable terms.

34. Support

NewGenWP may provide customer or technical support depending on the product and plan.

Support may include:

• documentation;
• email support;
• troubleshooting;
• bug investigation;
• product guidance;
• or other assistance.

Support does not guarantee that NewGenWP will:

• modify your website;
• repair third-party software;
• resolve hosting problems;
• resolve conflicts caused by third-party plugins;
• provide custom development;
• or guarantee a particular result.

35. Support Access

If you provide diagnostic information, temporary access, logs, screenshots, or other materials to support, you authorize NewGenWP to use them as reasonably necessary to investigate and resolve your support request.

You should remove unnecessary:

• passwords;
• API keys;
• access tokens;
• private keys;
• payment credentials;
• and other sensitive information

before submitting diagnostic material.

36. Beta and Experimental Features

NewGenWP may provide beta, experimental, preview, early-access, or development features.

Such features may:

• contain bugs;
• change substantially;
• be incomplete;
• have limited support;
• cause unexpected behavior;
• or be discontinued.

You use experimental features at your own risk.

Additional beta terms may apply.

37. Service Availability

NewGenWP aims to provide reliable Services but does not guarantee uninterrupted availability.

Services may occasionally be unavailable because of:

• maintenance;
• updates;
• outages;
• infrastructure problems;
• third-party failures;
• security incidents;
• network problems;
• force majeure events;
• or other circumstances.

Where practical, NewGenWP may provide notice of significant planned maintenance.

38. No Guarantee of Error-Free Software

Software can contain defects, bugs, compatibility issues, or unexpected behavior.

NewGenWP does not guarantee that:

• software will be completely error-free;
• every bug will be corrected;
• every feature will work in every environment;
• software will be compatible with every third-party product;
• or every requested feature will be implemented.

We may investigate and address reported problems according to our development priorities.

39. No Guarantee of Particular Results

NewGenWP products are tools.

Unless expressly stated otherwise, NewGenWP does not guarantee particular business, financial, SEO, traffic, advertising, conversion, security, performance, ranking, revenue, or other results.

For example, using a NewGenWP SEO product does not guarantee:

• search-engine rankings;
• traffic increases;
• indexing;
• AI visibility;
• citations;
• conversions;
• revenue;
• or other marketing outcomes.

40. Security-Related Products

If a NewGenWP product provides security-related functionality, that functionality is intended to assist with security management.

No software can guarantee complete protection against:

• hacking;
• malware;
• unauthorized access;
• data loss;
• vulnerabilities;
• exploits;
• compromised credentials;
• hosting failures;
• or other security incidents.

You remain responsible for maintaining appropriate:

• backups;
• updates;
• hosting security;
• credentials;
• access controls;
• and operational security.

41. Data Loss

You are responsible for maintaining appropriate backups of important information.

NewGenWP is not responsible for loss of customer data resulting from:

• user configuration;
• hosting failure;
• third-party software;
• unsupported environments;
• deletion;
• incorrect migration;
• corrupted backups;
• or circumstances outside NewGenWP’s reasonable control,

except to the extent liability cannot legally be excluded.

42. User Feedback

If you provide suggestions, ideas, feature requests, bug reports, or other feedback, you grant NewGenWP permission to use that feedback without compensation or obligation to you, to the extent permitted by law.

Feedback may be used to:

• improve products;
• develop features;
• troubleshoot issues;
• create documentation;
• or develop future products.

You retain ownership of unrelated intellectual property contained in the feedback.

43. Free Trials

Where NewGenWP offers a free trial, the trial may be subject to:

• duration limits;
• feature limits;
• usage limits;
• eligibility restrictions;
• payment requirements;
• or automatic conversion to a paid subscription.

The specific trial terms displayed during registration or checkout will apply.

44. Promotional Offers

NewGenWP may offer discounts, coupons, promotional pricing, or other offers.

Promotional offers may have additional conditions including:

• expiration dates;
• product restrictions;
• customer restrictions;
• one-time-use limitations;
• or non-combinability with other offers.

Unless expressly stated otherwise, promotional pricing does not necessarily apply to renewals.

NewGenWP may correct pricing or promotional errors where permitted by law.

• creating unauthorized copies for redistribution;

NewGenWP may suspend or terminate licenses involved in serious or repeated abuse, subject to applicable law.

46. Resale and Redistribution

Unless expressly permitted by the applicable license or a separate agreement, you may not:

• resell NewGenWP software;
• redistribute paid products;
• sublicense products;
• provide unauthorized copies;
• bundle products for resale;
• or distribute license credentials.

Agency, developer, reseller, white-label, or multi-site licensing may be offered under separate terms.

47. Educational and Informational Content

NewGenWP may publish tutorials, documentation, guides, recommendations, or educational content.

Such content is provided for informational purposes.

It does not constitute:

• legal advice;
• financial advice;
• tax advice;
• professional security advice;
• medical advice;
• or any other professional advice.

You are responsible for evaluating whether information is appropriate for your circumstances.

48. User-Generated Content

Where the Services allow comments, reviews, community content, or other user-generated material, you are responsible for what you publish.

You must not submit content that:

• violates applicable law;
• infringes third-party rights;
• contains malware;
• impersonates another person;
• contains unauthorized confidential information;
• or otherwise violates these Terms.

NewGenWP may remove content that violates applicable rules or law.

49. Account Suspension

NewGenWP may suspend or restrict an account when reasonably necessary to:

• protect security;
• prevent fraud;
• investigate abuse;
• address a serious violation of these Terms;
• comply with law;
• prevent harm to other users;
• or protect NewGenWP infrastructure.

Where appropriate and legally permitted, NewGenWP may provide notice and an opportunity to resolve the issue.

50. Termination

You may stop using the Services at any time.

NewGenWP may terminate or suspend access where:

• you materially violate these Terms;
• you engage in fraud or abuse;
• you create security risks;
• you use the Services unlawfully;
• payment obligations remain unpaid;
• or termination is otherwise permitted by the applicable agreement or law.

Termination does not eliminate obligations that by their nature should continue after termination.

51. Effect of Termination

Upon termination:

• access to applicable Services may end;
• subscriptions may stop renewing;
• licenses may terminate where permitted;
• account functionality may become unavailable;
• and certain data may be deleted according to our Privacy Policy and applicable retention requirements.

Sections concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions intended to survive termination will continue to apply.

52. Refunds After Termination

Termination does not automatically create a right to a refund.

Refund eligibility remains governed by:

• the applicable refund policy;
• the purchase terms;
• and applicable law.

53. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

To the extent permitted by law, NewGenWP disclaims warranties, whether express, implied, statutory, or otherwise, including warranties of:

• merchantability;
• fitness for a particular purpose;
• non-infringement;
• availability;
• accuracy;
• reliability;
• and suitability.

Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.

54. Limitation of Liability

To the maximum extent permitted by applicable law, NewGenWP and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Services.

This may include losses involving:

• profits;
• revenue;
• business opportunities;
• data;
• goodwill;
• business interruption;
• or anticipated savings.

To the maximum extent permitted by applicable law, NewGenWP’s aggregate liability arising from a particular claim will be limited to the amount you paid to NewGenWP for the applicable Service during the period permitted by applicable law before the event giving rise to the claim.

This limitation does not apply where liability cannot legally be limited or excluded.

55. Exceptions to Liability Limitations

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

Depending on applicable law, this may include liability for:

• fraud;
• intentional misconduct;
• certain forms of gross negligence;
• death or personal injury caused by negligence;
• or other matters that applicable law prohibits from being excluded.

56. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless NewGenWP and its affiliates, officers, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

• your unlawful use of the Services;
• your violation of these Terms;
• your infringement of third-party rights;
• content you submit;
• misuse of APIs or credentials;
• or your violation of applicable law.

NewGenWP may assume exclusive control of the defense of a claim subject to indemnification, and you agree to reasonably cooperate.

This section does not require you to indemnify NewGenWP for matters caused by NewGenWP’s own conduct to the extent prohibited by law.

57. Force Majeure

NewGenWP will not be responsible for delays or failures caused by circumstances beyond its reasonable control.

Such circumstances may include:

• natural disasters;
• war;
• terrorism;
• civil unrest;
• government action;
• Internet infrastructure failures;
• major cloud-provider outages;
• power failures;
• telecommunications failures;
• labor disruptions;
• epidemics or pandemics;
• cyberattacks;
• or other events beyond reasonable control.

58. Changes to These Terms

NewGenWP may update these Terms from time to time.

Changes may be necessary because of:

• new products;
• new services;
• legal requirements;
• regulatory changes;
• technical changes;
• business changes;
• security improvements;
• or changes to our Services.

When changes are made, we will update the “Last Updated” date.

Where required by law, we will provide additional notice or obtain required consent.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

By using the Services, you agree that NewGenWP may communicate with you electronically regarding:

You are responsible for maintaining an accurate email address associated with your account.

The Privacy Policy explains how NewGenWP collects, uses, stores, and protects personal information.

The Privacy Policy is incorporated into these Terms by reference.

62. Confidential Information

If NewGenWP provides confidential information to you, you must not disclose or misuse that information except as permitted by the applicable agreement.

Likewise, NewGenWP will handle confidential information provided by you according to applicable agreements and our Privacy Policy.

Information that:

• is publicly available;
• was already lawfully known;
• is independently developed;
• or is lawfully obtained from another source

may not be considered confidential solely because it was disclosed during use of the Services.

63. No Partnership

These Terms do not create:

• a partnership;
• joint venture;
• employment relationship;
• franchise;
• agency relationship;
• or fiduciary relationship

between you and NewGenWP unless expressly agreed in writing.

64. Assignment

You may not assign or transfer your rights or obligations under these Terms without NewGenWP’s prior written consent where such consent is legally required.

NewGenWP may assign these Terms in connection with:

• a merger;
• acquisition;
• corporate restructuring;
• sale of assets;
• financing;
• or similar transaction,

subject to applicable law.

65. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

66. Waiver

Failure by NewGenWP to enforce a provision of these Terms does not constitute a waiver of that provision or NewGenWP’s right to enforce it later.

67. Entire Agreement

These Terms, together with applicable:

• product-specific license terms;
• subscription terms;
